Morales & Besa advised Grupo Prisma in the acquisition of Eco-Lógica S.A.

Morales & Besa successfully advised Grupo Prisma in the negotiation, within a competitive process leaded by Landmark, for the acquisition of the absolute majority of the outstanding shares of Eco-Lógica S.A., a company that provides all kind industrial waste management services.

Eco-Lógica also has a participation in Asesorías y Servicios Kyklos SpA, company that deals with the waste management in schools.

In that connection, Morales & Besa Ltda. was involved during the whole acquisition process, including the performance of a due diligence over, the submission of the different offer documents, the preparation of the structure of the acquisition and the negotiation of the terms and conditions of the shares purchase agreement.

Finally, in order to regulate the future management of the company and its subsidiaries, the current shareholders of Eco-Lógica S.A. (Grupo Prisma, Francisco Javier Marín Undurraga, Juan Pablo Marín Undurraga, Sociedad de Asesorías e Inversiones Román y Ureta Ltda. and Enzo Bono Ferrando) entered into a shareholders’ agreement.

Morales & Besa team involved in this transaction was formed by partners Carlos Silva y Macarena Laso, with the participation of associates María Teresa Manubens and José Manuel Llamazales.
